Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Uptimeify website and service (the "Service") operated by Zaskoku & Haupt GbR ("us", "we", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Definitions

"Service" refers to the Uptimeify website, API, and monitoring tools provided by Zaskoku & Haupt GbR.
"User" or "You" refers to the individual or entity accessing the Service.
"Subscription" refers to the paid plan selected by the User to access premium features.
"Content" refers to text, data, and other information monitored or generated by the Service.

2. Service Description & Availability

2.1. Service Scope

Uptimeify provides website and server monitoring services. We check the availability and performance of your defined endpoints (websites, APIs, servers) from various global locations and alert you via defined notification channels in case of downtime or performance degradation.

2.2. Service Level Agreement (SLA)

We strive to maintain a Service availability of 99.9%. However, we cannot guarantee that our monitoring service will be available 100% of the time without interruption.

Exceptions to availability include:

• Scheduled maintenance windows (communicated in advance).
• Force majeure events (e.g., natural disasters, major internet backbone failures).
• Issues caused by third-party providers (e.g., cloud infrastructure outages).

In the event of significant service disruption, we may, at our sole discretion, offer service credits to affected paid subscribers.

3. Accounts & Security

3.1. Registration

To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3. Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, specifically the Acceptable Use Policy defined in Section 6.

4. Subscriptions, Billing & Payments

4.1. Subscription Plans

The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select.

4.2. Payment Processing

We use third-party payment processors (e.g., Mollie, PayPal, Credit Card providers) to handle financial transactions. By submitting payment information, you grant us the right to provide this information to these third parties subject to our Privacy Policy.

4.3. Upgrades & Downgrades

Upgrades: If you upgrade your plan, the change is effective immediately. You will be charged a prorated amount for the remainder of the current billing cycle.
Downgrades: If you downgrade your plan, the change will be effective at the end of your current billing cycle. No refunds will be issued for the unused portion of the higher-tier plan.

4.4. Refunds

Except when required by law, paid Subscription fees are non-refundable. We may consider refund requests on a case-by-case basis at our sole discretion.

4.5. Cancellation

You may cancel your Subscription renewal at any time through your account management page. You will continue to have access to the Service until the end of your current billing period.

5. API Usage

If you access the Service via our API, you agree to:

• Respect the rate limits defined in our documentation.
• Not use the API in a way that degrades the performance of the Service for other users.
• Secure your API keys and not share them with unauthorized parties.

We reserve the right to throttle or block API access for accounts that exceed reasonable usage limits or threaten the stability of our system.

6. Acceptable Use Policy

You agree not to use the Service to:

• Monitor websites or services you do not own or do not have explicit authorization to monitor.
• Monitor illegal content, including but not limited to child exploitation material, illegal gambling, or services facilitating cybercrime.
• Launch Denial of Service (DoS) attacks or otherwise attempt to disrupt third-party services.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Resell the Service without our express written permission.

7. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Zaskoku & Haupt GbR and its licensors. The Service is protected by copyright, trademark, and other laws of both Germany and foreign countries.

You retain all rights to any data or content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service to you.

8. Limitation of Liability

In no event shall Zaskoku & Haupt GbR, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; and
• Unauthorized access, use or alteration of your transmissions or content.

Our total liability for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the Service during the twelve (12) months prior to the claim.

9. Indemnification

You agree to defend, indemnify and hold harmless Zaskoku & Haupt GbR and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Ahaus, Germany, provided the customer is a merchant, a legal entity under public law, or a special fund under public law.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
